TERMS AND CONDITIONS OF USE Last Updated: March 6, 2026 Effective Date: March 6, 2026 IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE OR PURCHASING ANY PRODUCTS FROM THERAPEIA. BY ACCESSING THIS WEBSITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, PLEASE DO NOT USE THIS WEBSITE. ARTICLE 1 — DEFINITIONS AND INTERPRETATION 1.1 In these Terms and Conditions, the following definitions shall apply unless the context otherwise requires: "Company," "We," "Us," or "Our" refers to THERAPEIA, a commercial entity registered and operating under the laws of the State of Qatar, with its principal office located at Office #139, First Floor, Building 43, Street 100, Zone 56, Doha, Qatar. "Customer," "You," or "Your" refers to any individual, company, business entity, or organization that accesses this Website, creates an Account, or purchases Products from Us. "Website" refers to www.therapeiaqa.com and all associated subdomains, mobile applications, and digital platforms operated by THERAPEIA. "Products" refers to all commercial-grade saunas, cold plunge systems, accessories, spare parts, and any related goods offered for sale through the Website or through direct sales channels. "Order" refers to a request submitted by the Customer to purchase Products from THERAPEIA through the Website or any other accepted sales channel. "Account" refers to the user registration profile created by the Customer on the Website. "GCC" refers to the Gulf Cooperation Council member states, namely the State of Qatar, the Kingdom of Saudi Arabia, the United Arab Emirates, the Kingdom of Bahrain, the Sultanate of Oman, and the State of Kuwait. "Business Day" refers to any day other than Friday, Saturday, or a public holiday in the State of Qatar. "Force Majeure" has the meaning set out in Article 12. 1.2 References to any statute or statutory provision shall be construed as including references to any statutory modification, re-enactment, or regulation made thereunder. 1.3 In the event of any conflict between the Arabic and English versions of these Terms, the Arabic version shall prevail to the extent required by applicable law. However, both versions are intended to carry equal effect. ARTICLE 2 — SCOPE AND APPLICABILITY 2.1 These Terms and Conditions govern all transactions, interactions, and use of the Website and the purchase of Products from THERAPEIA, whether conducted online, in-person, via telephone, email, or through any other communication channel. 2.2 These Terms apply to Customers located in the State of Qatar, GCC member states, and all international jurisdictions from which the Website may be accessed. 2.3 By placing an Order, the Customer acknowledges that they are entering into a legally binding contract with THERAPEIA subject to these Terms. 2.4 THERAPEIA reserves the right to amend, modify, or update these Terms at any time without prior notice. The most current version will always be available on the Website. Continued use of the Website after any changes constitutes acceptance of the updated Terms. 2.5 Additional terms may apply to specific Products, promotions, or services. Such terms will be communicated at the time of transaction and shall be read in conjunction with these Terms. ARTICLE 3 — ELIGIBILITY AND ACCOUNT REGISTRATION 3.1 To use this Website and purchase Products, You must: (a) Be at least eighteen (18) years of age or the legal age of majority in Your jurisdiction; (b) Have the legal capacity and authority to enter into binding contracts; (c) If acting on behalf of a business entity, have the proper authorization to bind such entity to these Terms. 3.2 To create an Account, You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. 3.3 You are solely responsible for maintaining the confidentiality of Your Account credentials, including any one-time passwords (OTP) received for login. You agree to notify Us immediately of any unauthorized access to or use of Your Account. 3.4 THERAPEIA shall not be liable for any loss, damage, or unauthorized transactions resulting from Your failure to safeguard Your Account credentials. 3.5 THERAPEIA reserves the right to suspend, deactivate, or terminate any Account at its sole discretion, without prior notice, if We reasonably believe that: (a) The information provided is false, misleading, or incomplete; (b) The Account is being used in violation of these Terms or applicable law; (c) The Account is being used for fraudulent or unauthorized purposes. ARTICLE 4 — PRODUCTS AND PRODUCT INFORMATION 4.1 THERAPEIA offers commercial-grade wellness equipment including, but not limited to, saunas, infrared saunas, cold plunge systems, and related accessories, designed primarily for commercial and business use including gyms, spas, wellness centers, physical therapy clinics, hotels, and resorts. 4.2 All Product descriptions, specifications, images, measurements, weights, and other details provided on the Website are presented in good faith and for informational purposes. While We make every reasonable effort to ensure accuracy, minor variations may occur due to manufacturing processes, updates to product models, photographic representation, or display settings. 4.3 THERAPEIA does not warrant or guarantee that Product descriptions or other content on the Website are entirely free from errors, omissions, or inaccuracies. In the event of a material discrepancy, We will inform the Customer prior to dispatch and offer the option to proceed with or cancel the Order. 4.4 Product images are for illustrative purposes only. Actual Products may vary in color, texture, finish, or appearance from what is displayed on the Website due to photography, screen resolution, lighting conditions, and manufacturing tolerances. 4.5 THERAPEIA reserves the right to modify Product specifications, features, designs, and availability at any time without prior notice, provided such modifications do not materially affect Orders already confirmed and paid for. 4.6 Products sold by THERAPEIA are designed and intended for commercial and professional use. Customers using Products in residential settings do so at their own risk, and certain warranty provisions may be adjusted accordingly. ARTICLE 5 — PRICING AND PAYMENT 5.1 All prices displayed on the Website are quoted in Qatari Riyals (QAR) unless otherwise specified and are inclusive of the Product price only. 5.2 Prices do not include, and the Customer shall be responsible for, the following unless explicitly stated otherwise: (a) Value Added Tax (VAT) or any applicable sales tax as mandated by the laws of the State of Qatar or any other applicable jurisdiction; (b) Shipping, freight, and delivery charges; (c) Customs duties, import tariffs, and any other government levies applicable to international shipments; (d) Installation, assembly, and setup fees; (e) Any bank transfer fees, currency conversion charges, or payment processing fees. 5.3 THERAPEIA reserves the right to change prices at any time without prior notice. Price changes shall not affect Orders that have been confirmed and for which payment has been received in full. 5.4 In the event of a pricing error on the Website (including but not limited to system glitches, typographical errors, or incorrect data entry), THERAPEIA reserves the right to: (a) Correct the error and notify the Customer of the correct price; (b) Cancel the Order and issue a full refund if payment has already been processed; (c) Offer the Customer the option to proceed at the corrected price. 5.5 Payment must be made in full at the time of Order placement unless alternative payment terms (including installment plans, deferred payments, or credit terms) have been expressly agreed upon in writing between the Customer and THERAPEIA. 5.6 Accepted payment methods are displayed at checkout and may include, but are not limited to, credit cards, debit cards, bank transfers, and digital payment platforms. THERAPEIA reserves the right to add or remove payment methods at its discretion. 5.7 All payments are processed through secure third-party payment gateways. THERAPEIA does not directly store or process credit card or debit card information. Payment security is governed by the respective payment provider's terms and security policies. 5.8 THERAPEIA reserves the right to refuse or cancel any Order where payment cannot be verified, where fraud is suspected, or where the payment method is declined for any reason. ARTICLE 6 — ORDERS AND ORDER CONFIRMATION 6.1 The placement of an Order through the Website constitutes an offer by the Customer to purchase the selected Products subject to these Terms. 6.2 An Order is not considered accepted until THERAPEIA sends a written Order Confirmation to the Customer via email or through the Account notification system. The display of Products on the Website and the acknowledgment of receipt of an Order do not constitute acceptance of the Order. 6.3 THERAPEIA reserves the right, at its sole discretion, to accept or decline any Order, in whole or in part, for any reason including but not limited to: (a) Product unavailability or discontinuation; (b) Errors in pricing, Product description, or Product availability; (c) Suspected fraudulent activity; (d) Customer's failure to meet eligibility requirements; (e) Limitations on quantities available for purchase; (f) Delivery restrictions to the Customer's location. 6.4 In the event an Order is declined or cancelled by THERAPEIA after payment has been received, the Customer will be notified promptly, and a full refund will be issued within fourteen (14) Business Days through the original payment method. 6.5 The Customer is responsible for ensuring the accuracy of all Order details, including Product selection, quantities, specifications, delivery address, and contact information. THERAPEIA shall not be liable for any delays, losses, or additional costs arising from incorrect or incomplete information provided by the Customer. 6.6 Once an Order has been confirmed and is being processed for dispatch, it may not be modified or cancelled except as provided in Article 8 (Returns and Refunds). ARTICLE 7 — SHIPPING, DELIVERY, AND INSTALLATION 7.1 THERAPEIA offers shipping and delivery services to locations within Qatar, the GCC region, and selected international destinations. Delivery availability and charges vary by location and will be communicated to the Customer at the time of checkout or upon request. 7.2 Estimated delivery timelines are provided in good faith based on standard processing and shipping times and are not guaranteed. Delivery timelines are estimates only and shall not be treated as binding commitments. 7.3 Factors that may affect delivery timelines include, but are not limited to: (a) Product availability and manufacturing lead times; (b) Custom orders or modifications requested by the Customer; (c) Customs clearance and import procedures for international deliveries; (d) Geographic remoteness of the delivery location; (e) Force Majeure events as defined in Article 12; (f) Third-party logistics and carrier delays; (g) Regulatory inspections or compliance requirements. 7.4 THERAPEIA will make commercially reasonable efforts to inform the Customer of any anticipated delays in delivery as soon as reasonably practicable. Notification of delays will be made via email, phone, SMS, or through the Customer's Account on the Website. The Customer shall be given the option to: (a) Accept the revised delivery timeline; or (b) Cancel the Order and receive a full refund, provided the Product has not yet been dispatched. 7.5 Risk of loss and damage to Products shall pass to the Customer upon delivery to the address specified in the Order. It is the Customer's responsibility to inspect the Products upon delivery and report any visible damage, defects, or discrepancies within forty-eight (48) hours of receipt by contacting THERAPEIA at the details provided in Article 19. 7.6 If the Customer fails to report any damage or discrepancy within the forty-eight (48) hour period, the Products shall be deemed accepted in good condition, and THERAPEIA shall not be held liable for any claims arising from damage or defects that could have been identified upon reasonable inspection at the time of delivery. 7.7 Delivery charges are non-refundable once the Products have been dispatched, except where the delivery failure is solely attributable to THERAPEIA. 7.8 For deliveries requiring signature confirmation, the Customer or an authorized representative must be available at the delivery address during the scheduled delivery window. Failed delivery attempts due to the Customer's unavailability may result in additional redelivery charges. 7.9 Installation services, where offered, are subject to separate terms and fees. Installation charges, timelines, and scope of work will be communicated in advance and must be agreed upon prior to commencement. 7.10 THERAPEIA shall not be liable for any indirect, incidental, or consequential losses arising from delivery delays, including but not limited to loss of business revenue, loss of anticipated profits, loss of clients, or any other commercial losses. ARTICLE 8 — RETURNS, REFUNDS, AND CANCELLATION 8.1 THERAPEIA is committed to Customer satisfaction. Our return and refund policy is designed to be fair and transparent in accordance with the Consumer Protection Law of the State of Qatar (Law No. 8 of 2008, as amended) and applicable GCC consumer protection regulations. 8.2 The Customer may request a return of Products within seven (7) calendar days from the date of delivery, provided: (a) The Products are unused, uninstalled, and in their original condition; (b) All original packaging, tags, labels, protective materials, and accessories are intact and included; (c) The Products are not custom-made, modified, or specially ordered to the Customer's specifications; (d) The Customer provides proof of purchase (Order Confirmation, invoice, or receipt). 8.3 The following Products are not eligible for return or refund: (a) Custom-built, bespoke, or made-to-order Products; (b) Products that have been installed, used, assembled, or altered in any way; (c) Products with removed or damaged labels, tags, or packaging; (d) Spare parts or accessories that have been opened from sealed packaging; (e) Products damaged due to misuse, neglect, or failure to follow provided instructions. 8.4 To initiate a return, the Customer must contact THERAPEIA through the contact details provided in Article 19 and obtain a Return Authorization Number (RAN). Products returned without a valid RAN may be refused. 8.5 The Customer shall bear the cost and risk of return shipping unless the return is due to: (a) A defective or damaged Product delivered by THERAPEIA; (b) An incorrect Product shipped by THERAPEIA; (c) A material discrepancy between the Product received and the Product described in the Order Confirmation. 8.6 Refunds will be processed within fourteen (14) Business Days after the returned Products have been received and inspected by THERAPEIA. Refunds will be issued through the original payment method. The time for the refund to appear in the Customer's account may vary depending on the financial institution. 8.7 THERAPEIA reserves the right to deduct from the refund amount: (a) Any reduction in value resulting from the Customer's handling of the Products beyond what is necessary to establish the nature, characteristics, and functioning of the Products; (b) Original shipping and delivery charges (unless the return is attributable to THERAPEIA); (c) A restocking fee of up to fifteen percent (15%) of the Product price for Products that are not returned in their original, resalable condition, subject to applicable consumer protection laws. 8.8 For cancellations made before the Order has been dispatched, a full refund will be issued within seven (7) Business Days. 8.9 THERAPEIA reserves the right to refuse returns or refunds that do not comply with the conditions set out in this Article. ARTICLE 9 — WARRANTY 9.1 THERAPEIA provides a limited manufacturer's warranty on its Products as specified in the Product documentation, warranty card, or as communicated at the time of purchase. 9.2 The standard warranty period for THERAPEIA Products is two (2) years from the date of delivery, unless otherwise specified for specific Products or Product categories. 9.3 The warranty covers defects in materials and workmanship under normal use and conditions. The warranty does not cover: (a) Normal wear and tear, cosmetic damage, or gradual deterioration; (b) Damage caused by misuse, abuse, negligence, or failure to follow installation and maintenance guidelines provided by THERAPEIA; (c) Damage resulting from unauthorized modifications, alterations, or repairs; (d) Damage caused by accidents, natural disasters, power surges, water damage (other than intended use), or any Force Majeure event; (e) Products used in a manner inconsistent with their intended commercial purpose; (f) Products installed by unauthorized persons or in violation of the installation guidelines provided by THERAPEIA; (g) Consumable parts and accessories, unless defective at the time of delivery; (h) Damage caused by failure to perform recommended maintenance. 9.4 To make a warranty claim, the Customer must: (a) Contact THERAPEIA within the warranty period; (b) Provide proof of purchase and details of the claimed defect; (c) Allow THERAPEIA or its authorized representative to inspect the Product. 9.5 Upon validation of a warranty claim, THERAPEIA shall, at its sole discretion: (a) Repair the defective Product; (b) Replace the defective Product with a new or refurbished Product of equal or comparable specification; (c) Issue a credit note or refund for the defective Product. 9.6 The warranty provided herein is in lieu of all other warranties, whether express or implied, to the maximum extent permitted by applicable law. This does not affect the Customer's statutory rights under the Consumer Protection Law of Qatar or applicable consumer protection laws in the Customer's jurisdiction. 9.7 THERAPEIA'S total cumulative liability under warranty shall not exceed the original purchase price of the defective Product. ARTICLE 10 — LIMITATION OF LIABILITY 10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THERAPEIA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR: (a) Any indirect, incidental, special, consequential, exemplary, or punitive damages; (b) Loss of profits, revenue, business, goodwill, data, or anticipated savings; (c) Business interruption or loss of business opportunity; (d) Any claims arising from the acts or omissions of third parties, including but not limited to logistics providers, payment processors, and installation contractors; (e) Any loss or damage resulting from the Customer's failure to comply with these Terms, Product installation guidelines, or maintenance instructions. 10.2 THERAPEIA'S total aggregate liability to the Customer for any and all claims arising out of or in connection with these Terms, any Order, or any Products shall not exceed the total amount paid by the Customer for the specific Product(s) giving rise to the claim. 10.3 Nothing in these Terms shall exclude or limit liability for: (a) Death or personal injury caused by gross negligence; (b) Fraud or fraudulent misrepresentation; (c) Any liability that cannot be lawfully excluded or limited under the laws of the State of Qatar or the Customer's applicable jurisdiction. 10.4 The limitations of liability set out in this Article are fundamental elements of the agreement between THERAPEIA and the Customer and reflect a fair allocation of risk. ARTICLE 11 — INTELLECTUAL PROPERTY 11.1 All content on the Website, including but not limited to text, graphics, logos, images, photographs, videos, designs, trademarks, trade names, brand names, software, source code, and other materials, are the exclusive intellectual property of THERAPEIA or its licensors and are protected by the intellectual property laws of the State of Qatar, international copyright conventions, and applicable international treaties. 11.2 The THERAPEIA name, logo, and all associated marks are registered or unregistered trademarks of THERAPEIA. No license or right to use any such trademarks is granted by these Terms. 11.3 You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or otherwise exploit any content from the Website without the express prior written consent of THERAPEIA. 11.4 Any unauthorized use of Our intellectual property shall constitute a material breach of these Terms and may result in legal action. ARTICLE 12 — FORCE MAJEURE 12.1 THERAPEIA shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events, circumstances, or causes beyond its reasonable control ("Force Majeure"), including but not limited to: (a) Natural disasters, epidemics, pandemics, floods, earthquakes, storms, or other acts of nature; (b) War, armed conflict, terrorism, civil unrest, riots, insurrection, or sanctions; (c) Government actions, regulations, embargoes, import/export restrictions, or quarantine measures; (d) Strikes, labor disputes, lockouts, or industrial action; (e) Failure or disruption of power, internet, telecommunications, or IT systems; (f) Fire, explosion, or equipment failure; (g) Supply chain disruptions, shortage of materials, or manufacturing delays by suppliers; (h) Port closures, shipping delays, or transportation disruptions; (i) Any other event beyond the reasonable control of THERAPEIA. 12.2 In the event of a Force Majeure, THERAPEIA shall: (a) Notify the Customer as soon as reasonably practicable; (b) Make reasonable efforts to mitigate the impact and resume performance; (c) Offer the Customer the option to wait for performance to resume or to cancel the affected Order for a full refund. 12.3 If a Force Majeure event continues for more than ninety (90) consecutive days, either party may terminate the affected Order by written notice, and THERAPEIA shall issue a full refund for any Products not delivered. ARTICLE 13 — INDEMNIFICATION 13.1 The Customer agrees to indemnify, defend, and hold harmless THERAPEIA, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) The Customer's breach of these Terms; (b) The Customer's misuse of the Products, including but not limited to improper installation, modification, or use contrary to the instructions provided; (c) Any third-party claim arising from the Customer's use of the Products; (d) The Customer's violation of any applicable law, regulation, or third-party right; (e) Inaccurate, false, or misleading information provided by the Customer. ARTICLE 14 — DISPUTE RESOLUTION AND GOVERNING LAW 14.1 These Terms shall be governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of laws provisions. 14.2 In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the dispute amicably through good faith negotiation within thirty (30) days of written notice of the dispute. 14.3 If the dispute cannot be resolved through negotiation, either party may refer the matter to mediation under the rules of the Qatar International Court and Dispute Resolution Centre (QICDRC). 14.4 If mediation is unsuccessful within sixty (60) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of the State of Qatar. The Customer irrevocably submits to such jurisdiction. 14.5 For Customers located outside Qatar, the parties agree that any disputes shall be resolved through arbitration under the QICDRC Arbitration Rules. The seat of arbitration shall be Doha, Qatar. The language of arbitration shall be English, and the number of arbitrators shall be one (1) unless the parties agree otherwise. 14.6 Nothing in this Article shall prevent THERAPEIA from seeking injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property or confidential information. ARTICLE 15 — COMPLIANCE WITH APPLICABLE LAWS 15.1 THERAPEIA operates in compliance with the laws and regulations of the State of Qatar, including but not limited to: (a) Qatar Consumer Protection Law (Law No. 8 of 2008, as amended); (b) Qatar Commercial Code (Law No. 27 of 2006); (c) Qatar E-Commerce and Electronic Transactions Law (Law No. 16 of 2010); (d) Qatar Data Protection Law (Law No. 13 of 2016 on Personal Data Privacy Protection); (e) Applicable VAT and customs regulations; (f) All relevant GCC Unified Commercial and Consumer Protection Standards. 15.2 The Customer is responsible for ensuring compliance with all laws and regulations applicable in their jurisdiction, including import restrictions, local product safety standards, and electrical compliance requirements. 15.3 THERAPEIA reserves the right to refuse Orders from or terminate service to any jurisdiction where compliance with local laws cannot be reasonably assured. ARTICLE 16 — WEBSITE USE AND ACCEPTABLE CONDUCT 16.1 You agree to use the Website only for lawful purposes and in accordance with these Terms. You shall not: (a) Use the Website in any way that violates any applicable local, national, or international law or regulation; (b) Use the Website for fraudulent purposes or in connection with any criminal activity; (c) Attempt to gain unauthorized access to any part of the Website, other user Accounts, or any systems or networks connected to the Website; (d) Introduce viruses, malware, or any other harmful code to the Website; (e) Use automated tools, bots, scrapers, or similar technologies to access or collect data from the Website without Our express written consent; (f) Reproduce, duplicate, copy, sell, or otherwise exploit any part of the Website for commercial purposes without Our prior written authorization; (g) Post, transmit, or distribute any defamatory, offensive, or unlawful content through any interactive feature of the Website. 16.2 THERAPEIA reserves the right to restrict or terminate access to the Website for any user who violates these terms of acceptable conduct. ARTICLE 17 — THIRD-PARTY LINKS AND SERVICES 17.1 The Website may contain links to third-party websites, platforms, or services. Such links are provided for convenience only and do not constitute endorsement, approval, or sponsorship by THERAPEIA. 17.2 THERAPEIA is not responsible for the content, accuracy, privacy practices, or availability of any third-party websites or services. Accessing third-party links is at the Customer's own risk. 17.3 Any transactions or interactions between the Customer and third parties, including payment processors and logistics providers, are solely between the Customer and such third party. THERAPEIA shall not be liable for any loss or damage arising from such interactions. ARTICLE 18 — SEVERABILITY 18.1 If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from the remaining Terms, which shall continue in full force and effect. 18.2 The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.
